Arizona Corporation Commission Adopts New Policies to Prevent Business Filing Fraud

The Arizona Corporation Commission (ACC) has unanimously approved a set of new policies aimed at deterring fraudulent business filings and better protecting Arizona business owners. The measures were adopted on May 8, 2025, and are part of the Commission's ongoing efforts to improve customer experience while safeguarding the integrity of business records.

The ACC's Corporations Division identified four key policy changes that will go into effect starting June 16, 2025, for in-person filings, with online implementation to follow later this year in conjunction with the rollout of a new filing system.

Overview of New Policies
Policy 1: Two Forms of Identification Required

To reduce the risk of unauthorized filings, individuals submitting business documents must now present two forms of identification. Acceptable documents include a combination of primary and secondary IDs:

  • Primary ID examples: State-issued driver's license, U.S. passport, tribal ID, or military ID.
  • Secondary ID examples: Voter registration card, birth certificate, or paystub.

Special procedures will apply for service companies and legal runners.

Policy 2: LLC Signing Authority Form

LLC members or managers can now designate specific individuals authorized to sign on behalf of the business using a Signing Authority Form. This optional form must be submitted in-person by an existing, registered member or manager and will be verified against future filings.

Policy 3: LLC Attestation of Existence

Starting next year, LLCs that have not interacted with the ACC in two years will receive an electronic notice requiring them to confirm ongoing business activity. A simple response through the online portal will suffice. Failure to respond within 60 days may lead to administrative dissolution.

Policy 4: Use of Self-Drafted Annual Reports and Disclosure Forms

Businesses may now submit their own versions of Annual Reports and Certificates of Disclosure, provided they meet legal requirements and are submitted with an ACC Guidance Worksheet. If this worksheet is not included, the filing will be rejected.

Implementation Timeline
  • June 16, 2025: In-person filings for Policies 1, 2, and 4 begin.
  • Later in 2025: Online implementation dates will be announced alongside the release of the new online filing system.

The ACC emphasizes that these changes are designed to strengthen security with minimal disruption to business owners. By refining procedures and adding identity safeguards, the Commission aims to make filing easier and more secure for Arizona businesses.
